Are electronic signatures legal in the UK?

Yes. Electronic signatures are legally recognised across England, Wales, Scotland and Northern Ireland. Here is the legal framework that makes a signed electronic contract enforceable.

Electronic Communications Act 2000

The ECA 2000 is the cornerstone of UK electronic signature law. Section 7 provides that an electronic signature, and any certification of it, is admissible in evidence in relation to any question about the authenticity or integrity of an electronic communication. It does not itself equate an electronic signature with a wet-ink one: the weight given to it remains a matter for the court, which looks at the surrounding evidence of intent and integrity.

Retained EU eIDAS Regulation

The EU eIDAS Regulation (No 910/2014) was carried over into UK domestic law under the European Union (Withdrawal) Act 2018 and adapted by SI 2019/89 — it is now known as the UK eIDAS Regulation. UK law continues to recognise three tiers of electronic signature: simple (SES), advanced (AES) and qualified (QES), a qualified signature having the equivalent legal effect of a handwritten one (Article 25(2)). What Brexit removed is automatic cross-border recognition: Chapter II and Article 25(3) were omitted, so an EU-issued qualified signature is no longer automatically treated as qualified in the UK, and vice versa.

Law Commission report (2019)

In its 2019 report on the electronic execution of documents, the Law Commission of England and Wales confirmed that an electronic signature is capable in law of executing a document, including a deed, provided the signatory intends to authenticate it and any formalities (such as witnessing) are met. The government accepted this conclusion, removing lingering doubt for businesses.

The three types of electronic signature

A simple electronic signature (typing a name, clicking 'I agree') suits most commercial contracts. An advanced electronic signature is uniquely linked to the signatory and detects later changes. A qualified electronic signature adds both a qualified certificate and a qualified signature creation device, and carries the same legal effect as a handwritten signature. Frequently asked questions

Do UK electronic signatures need a witness?

Ordinary contracts do not require a witness. Deeds do. The Law Commission confirmed in 2019 that a deed may be signed electronically and attested electronically by the witness — but the witness must be physically present when the signatory signs. Remote or video witnessing is not currently sufficient under English law.

Are electronic signatures valid in Scotland?

Yes. The Requirements of Writing (Scotland) Act 1995, as amended, recognises electronic documents (sections 9B–9C). Note the Scottish specificity: for documents requiring formal writing under section 1(2) — dispositions of land, wills, gratuitous unilateral obligations — the Electronic Documents (Scotland) Regulations 2014 require at least an advanced electronic signature, and an AES supported by a qualified certificate for the document to be self-proving. Ordinary commercial contracts are not subject to that requirement.

Which documents can't be signed electronically in the UK?

A small number of documents still require traditional formalities — wills in England and Wales, for example, must be signed on paper before two witnesses (Wills Act 1837, s.9). Land registration has its own regime: HM Land Registry accepts Mercury signatures, conveyancer-certified electronic signatures and, for certain dispositionary documents, qualified electronic signatures — see HMLR practice guide 82. Most commercial contracts face no such restriction.

Will an electronic signature hold up in a UK court?

Yes — electronic signatures are admissible in evidence under the Electronic Communications Act 2000, s.7. What matters in practice is being able to evidence the signatory's intent and the integrity of the document.
