What is a photovoltaic plant sale?
The sale of a photovoltaic installation is the act by which the owner of a PV installation transfers ownership of the installation to a purchaser typically on the occasion of a sale of real estate (the installation follows the building, principle of acquisition, Art. 552 of the Civil Code), but also possible in isolated sale (sale of the installation separately from the building, more rarely). The sale entails the transfer of: (1) the connection contract with EDedis (CRAE), (2) the purchase contract with EDF OA (Energy Code L.315-3 automatic transfer on declaration), (3) the remaining premium for self-consumption to be paid, (4) the guarantees (decade to 10 years, modules to 25 years).

1. Preparation of the deed of assignment

Frequently Asked Questions
- Can the deed of sale of a PV installation be signed electronically?

- Is the OA contract automatically transferred to the purchaser?
- Yes Energy Code L.315-3: automatic transfer of the OA contract to the new owner of the installation, upon simple declaration to EDF OA within 30 days of the transfer.
- Is the Enedis connection being transferred too ?
- Yes the CRAE (Auto-Producer Electricity Agreement) is transferred to the new owner by simple declaration to Enedis. No disconnection, continuity of production guaranteed. File to be transmitted: transfer deed + RIB of the new owner.
- What about the remaining self-consumption premium?
- The premium continues to be paid to the OWNER of the installation at the time of payment (Energy Code L.315-3). In the event of a transfer, the remaining premium to be paid passes to the transferee on the date of the actual transfer.
- Are the collateral transferred?
- Ten-year warranty (Article 1792 of the Civil Code): automatically transferred to the new owner until the expiry of 10 years. Manufacturer's warranty modules + inverter: transferred if provided by the manufacturer (general case). Performance warranty: transferred. Keep warranty certificates for transmission to the purchaser.
- What is the tax rate for a sale of a PV installation?
- The following are the types of taxation: - sale of the property (Article 150 U CGI), no separate VAT. - sale of the property: no separate VAT. - consultation of an expert accountant for specific cases.
- Does the transferee have to accept the current maintenance contract?
- The transferee may: (1) take over the existing contract via a tripartite endorsement, (2) sign a new one with the current provider, (3) sign with another provider.
- What if the transferee refuses the OA contract ?
- Rare case (the OA contract is generally regarded as an asset). If refused: dismantling of the facility at the expense of the seller BEFORE the sale of the property, or termination of the OA contract by the transferee after the sale (with 1 year's notice + pro rata penalty).
