What is a joint venture AG PV?
The minutes of the AG are the document that formalizes the decisions taken at the general meeting by the members of the association. The ordinary AG (AGO) approves the annual accounts and renews the board; the extraordinary AG (AGE) amends the bylaws or dissolves the association. No text of the Act 1901 requires the handwritten signature of the minutes. The law leaves it to the bylaws to organize meetings: a remote or hybrid AG, with voting by correspondence or electronically, is possible if the bylaws or the internal rules provide for it. The derogatory regime of Order No. 2020-321, adopted during the health crisis, ended in 2022.
Why sign electronically?
AG at a distance huge gain
If your bylaws or your internal rules provide for remote participation, you can hold AG meetings by videoconference or in hybrid form. No need to physically gather all members. Voting by mail + electronic signature of the minutes by the board — saving several weeks, quorum easier to reach.
Multi-signatories (chairman, bureau)
The PV is signed by the chairman, the clerk and the voters, our stream handles the sequential or parallel signature, and each signatory receives an individual link secured by OTP SMS.
Dematerialized register of minutes
No text requires a paper register for the minutes of the AG of an association Act 1901: unless the bylaws provide otherwise, they may be kept in electronic form (Article 1366 of the Civil Code). Certyneo automatically archives each signed minutes in a digital register, accessible with one click for any audit or litigation.
Enforceable audit trail
Each PDO is accompanied by a PDF of evidence: signatories' identity, RFC 3161 timestamping, SHA-256 hash, SMS OTP, IP. Opposable in case of dispute over the resolutions adopted, the regularity of the AG or the quorum.
The four-step procedure
From prep to legal filing in less than five minutes.
1. Prepare the PV
Upload your existing VP or use a compliant template.Mandatory information: date, place (or distance arrangements), identity of members present/represented, resolutions put to the vote, results of the vote, signature of the Bureau.
2. Add the signatories from the office
Each person receives a secure, personalised email link with OTP SMS to their own number.
3. Choose the eIDAS level
Advanced signature (AES) recommended for a GV PV: SMS OTP identity verification, unique certificate per signer, RFC 3161 timestamping.
4. Sign and file
Each signatory signs from his/her phone or computer. The completed PV + the PDF of the proof are automatically archived for 10 years. For statutory amendments (AGE), declaration to the prefecture within 3 months.
Frequently asked questions
- Can a GPA of an association be signed electronically?
- No text of the 1901 Act requires the handwritten signature. Article 1366 of the Civil Code recognizes electronic writing as having the same evidentiary force as paper writing. The advanced signature Certyneo meets the evidentiary requirements.
- Can we hold an AG meeting entirely remotely?
- Yes, provided that the bylaws or the internal rules of the association provide for remote participation (videoconference, telephone conference) or voting by correspondence or electronically. The derogatory regime of Order No. 2020-321, which allowed it without any bylaw provision during the health crisis, ended in 2022: failing such a provision, amend your bylaws at an AGE. The minutes are then signed by the board with advanced signature.
- Which members of the office have to sign the PV?
- At least the chairman and the secretary (the role of the PV editor) and the scrutineers can also countersign to strengthen the evidentiary value.
- Does the regular AG PV have to be deposited somewhere?
- The general budget (approval of accounts, office renewal) is filed internally, and the special budget (statutory amendment) must be attached to the declaration of amendment in the prefecture (Art. 5 of the 1901 law) within 3 months.
- How long do you need to keep the PVs?
- For associations receiving public subsidies, 10 years of storage of supporting documents (Art. L1611-4 CCT).
- Can the Auditor-General countersign the final report on the approval of the accounts?
- For grants of > €153k (Article L612-4 of the Commercial Code), the CAC produces a report attached to the minutes but does not sign the minutes itself (board signature). The CAC report may be signed electronically separately.
- What signature level for a G.A. PV?
- Advanced signature (AES) recommended. It is admissible in court (Article 1367 of the Civil Code) and its evidence file makes it possible to demonstrate its reliability in the event of a resolution being contested by an opposing member. Only the qualified signature (QES) benefits from a presumption of reliability (Decree No. 2017-1416).
- Is the electronically signed P.V. open to challenge?
- Yes French case law recognises eIDAS-compliant electronic signatures. The Certyneo audit trail proves the date of AG, the identity of the office's signatories, the absence of alteration of the PDF appealable in court.
