Sign a general meeting agreement online

Minutes of ordinary or extraordinary general meeting (AGO) of an association Act 1901, electronically signed by the office (chairman, secretary, voters). In accordance with the Act of 1 July 1901, Order No. 2020-321 on remote AGs (perennial), and the Regulation eIDAS recommended advance signature, compatible correspondence vote, archiving 10 years included.

What is a joint venture AG PV?

The minutes of the AG are the document that formalizes the decisions taken at the general meeting by the members of the association. The ordinary AG (AGO) approves the annual accounts and renews the office; the extraordinary AG (AGE) amends the statutes or dissolves the association. No text of the Act 1901 requires the handwritten signature of the PV.

Why sign electronically?

The extended 25 March 2020 order allows for the holding of AG meetings remotely or in hybrid. No need to physically gather all members. Voting by mail + electronic signature of the PV by the office saving several weeks, quorum easily reached.

Frequently Asked Questions

Can a GPA of an association be signed electronically?
No text of the 1901 Act requires the handwritten signature. Article 1366 of the Civil Code recognizes electronic writing as having the same evidentiary force as paper writing. The advanced signature Certyneo meets the evidentiary requirements.
Can we hold an AG meeting entirely remotely?
Yes Order No. 2020-321 of 25 March 2020 (perennial) allows AGs of remote or hybrid associations with voting by correspondence, videoconference or telephone conference.
Which members of the office have to sign the PV?
At least the chairman and the secretary (the role of the PV editor) and the scrutineers can also countersign to strengthen the evidentiary value.
Does the regular AG PV have to be deposited somewhere?
The general budget (approval of accounts, office renewal) is filed internally, and the special budget (statutory amendment) must be attached to the declaration of amendment in the prefecture (Art. 5 of the 1901 law) within 3 months.
How long do you need to keep the PVs?
For associations receiving public subsidies, 10 years of storage of supporting documents (Art. L1611-4 CCT).
Can the Auditor-General countersign the final report on the approval of the accounts?
For grants of > €153k (Article L612-4 CMF), the CAC produces a report attached to the PV but does not sign the PV itself (office signature).
What signature level for a G.A. PV?
It provides the presumption of reliability (Article 1367 of the Civil Code) and fulfils the evidentiary requirements in the event of a resolution being contested by an opposing member.
Is the electronically signed P.V. open to challenge?
Yes French case law recognises eIDAS-compliant electronic signatures. The Certyneo audit trail proves the date of AG, the identity of the office's signatories, the absence of alteration of the PDF appealable in court.
