What is electronic signature? Complete Guide 2026

Updated on

Electronic signature (o e-signature) allows you to sign documents digitally with same legal value as handwritten signature. This guide explains how it works, three levels defined by eIDAS regulation, its legal validity in France at Europe, at how to implement electronic signature sa iyong organization.

Definition: what is electronic signature?

An electronic signature is a set of data in electronic form, which are joined or logically associated with other data in electronic form at which signer uses to sign. This definition, from eIDAS regulation (regulation (EU) n°910/2014), covers wide spectrum ng technical mechanisms, from simplest (check box, type name) to most sophisticated (qualified cryptographic certificate).

In French law, article 1367 ng Civil Code states that "signature necessary for perfection ng legal act identifies who aposes it" at that, when electronic, it "consists in use ng reliable identification process guaranteeing its link sa document it attaches to". Process reliability is presumed for signatures qualified under eIDAS.

Practically, an electronic signature fulfills three functions: it identifies the signatory, it expresses his consent to the content of the document, and it guarantees the integrity of the document (any modification after signing is detectable).

Electronic signature vs digital signature

Terms are often confused. Electronic signature is legal concept (what binds signer). Digital signature is underlying cryptographic technique (document hashing, asymmetric encryption with private key) that can be used to implement advanced o qualified electronic signature. Every digital signature is electronic signature, but reverse is not true.

How does electronic signature work?

The mechanism is based on two pillars: l'authentication of the signer and l'integrity of the document.

To authenticate signer, one uses one or more identification factors: trusted email address (single-use link), OTP code received via SMS, personal cryptographic certificate, etc. To guarantee integrity, one calculates fingerprint (hash) ng document at moment ng signature. If document is modified afterward, fingerprint no longer matches — signature is then invalidated.

In solutions like Certyneo, the process relies on PDF processing libraries that integrate these cryptographic metadata directly into the file. A timestamped audit trail (action log) completes the system by recording each step: sending, opening, OTP validated, signature, etc.

On the technical side, several security mechanisms strengthen the inviolability of the process: qualified timestamping (RFC 3161) applies certified time proof to each signature; TLS 1.3 encryption protects data in transit; geolocation and the signatory's IP address are recorded for traceability; finally, in certain flows (AES/QES), behavioral biometric data (typing speed, pressure) supplement the identity fingerprint.

The concept of non-repudiation is central: thanks to the timestamped and cryptographically signed audit trail, it is technically impossible for a signatory to deny having signed a document without falsifying the chain of evidence. In terms of archiving, French regulations (decree 2016-1673) require 10-year retention for most commercial acts — Certyneo ensures this archiving with probative value in sovereign hosting (EU).

3 levels ng electronic signature according eIDAS

The eIDAS regulation defines a hierarchy of three levels. The higher the level, the stronger the identification requirements and the more robust the legal presumption.

Key legal point — burden of proof reversal: For QES only, article 25 ng eIDAS regulation establishes legal presumption ng equivalence with handwritten signature. In case ng dispute, it's to challenger to prove signature is invalid — not to signer to prove its validity. This reversal is considerable advantage in contract disputes.

Legal validity in France and the European Union

In France, electronic signature ay recognized since law n°2000-230 ng March 13, 2000, which modified Civil Code to consecrate electronic writing at electronic signature as equivalent sa their paper counterparts. Article 1366 specifies that electronic writing "has same probative force as writing on paper support".

At European level, eIDAS regulation (EU) n°910/2014 creates unified legal framework for electronic signatures. Its article 25 establishes non-discrimination principle: "it cannot be refused to electronic signature its legal effects at admissibility as evidence in court solely because this signature presents itself in electronic form". Qualified signatures (QES) also benefit from legal presumption equivalent sa handwritten signature in 27 Member States.

For common documents (commercial contracts, work contracts, quotes, NDA, mandates), an advanced signature (AES) offers excellent balance between ease of use at legal security. Qualified signature (QES) is reserved for very high value acts o situations where sectoral regulation explicitly requires it.

Which documents and sectors can use electronic signature?

Almost all contracts and legal acts can be signed electronically. A few exceptions remain (notarial acts, holographic wills) but they concern less than 5% of common commercial acts.

5 common mistakes with electronic signature (and how to avoid them)

Even if legally recognized, an electronic signature can be challenged if poorly implemented. Here are the most frequent pitfalls encountered in business.

1

Using a level too low for the contract

Signing an employment contract or transfer deed with SES (simple click) exposes the employer to a risk of challenge. Rule: any contract valued > €1,500 or with significant HR consequences must use at least AES with SMS OTP.

2

Ignoring the audit trail (proof journal)

The signed document is only part of the proof. The audit trail — which documents every step (sending, opening, OTP validated, time, IP) — is the cornerstone in case of dispute. Without it, it is impossible to reconstruct the chain of events before a judge.

3

Not verifying GDPR compliance of the provider

Biometric and identification data of signatories are sensitive personal data. Your provider must necessarily host data within the European Union and have a DPA (Data Processing Agreement) compliant with GDPR. Be wary of American solutions without EU hosting.

4

Confusing electronic signature at scanned signature

Scanning your handwritten signature at inserting it in PDF has no legal value under eIDAS regulation. True electronic signature is based on cryptographic mechanisms ng integrity at authentication — not on image.

5

Neglecting long-term archiving

Decree 2016-1673 requires preserving signature proof throughout the entire legal lifespan of the contract (10 years for commercial acts, 5 years for employment contracts). Your solution must guarantee archiving with probative value, not just standard cloud storage.

Common questions about electronic signature

What is an electronic signature?

Electronic signature is technical process allowing to identify author ng digital document at guarantee its integrity. It is legal equivalent ng handwritten signature under eIDAS regulation (EU) n°910/2014 at article 1367 ng French Civil Code.

Is electronic signature legal in France?

Yes. Electronic signature ay legally recognized in France since March 13, 2000 law (article 1367 ng Civil Code) at throughout European Union thanks to eIDAS regulation. It has same legal value as handwritten signature as long as conditions ng signer identification at document integrity are met.

What is difference between simple, advanced and qualified signature?

eIDAS regulation defines three levels. Simple signature (SES) corresponds sa basic level: click, check box o type name. Advanced signature (AES) requires signer identification (OTP SMS/email, for example) at unique link with document. Qualified signature (QES) additionally requires certificate issued by qualified trust provider (QTSP) at secure signature creation device — it offers strongest legal presumption.

What documents can be electronically signed?

Nearly all contractual and commercial documents can be electronically signed: employment contracts, quotes and purchase orders, NDA, service contracts, amendments, mandates, agreements, assignment deeds. Some authentic acts (notarial acts, civil status acts) require particular conditions.

How does Certyneo electronic signature work?

With Certyneo, sender deposits PDF document, adds signers and defines fields. Each signer receives secure email link. For advanced signature (AES), dual OTP email + SMS (our OTP SMS provider) authenticates signer. Final PDF includes timestamped audit footer and is archived 10 years.

Is electronic signature valid throughout EU?

Yes. eIDAS regulation is directly applicable in 27 EU Member States. Qualified signature issued in one member country is recognized in all other member states. Simple at advanced signatures also have probative value but can be subject to judge''s appreciation.

How much does electronic signature cost with Certyneo?

Certyneo offers free plan (5 envelopes/month), Personal plan at €9/month, Standard plan at €19/month at Business plan at €39/month (Business) o €99/month (Business Pro). Advanced eIDAS signature (AES) is available from Personal plan (€9/month).

What is audit trail and what is it for?

Audit trail is timestamped journal of all actions performed on envelope: sending, opening, viewing, signing, refusal, expiration. It constitutes proof of chronology of events and strengthens evidential value of signed document in case of dispute.

Is electronic signature really secure?

Yes, electronic signature compliant eIDAS is technically safer than handwritten signature. It combines: (1) signer identification via OTP SMS o certificate, (2) cryptographic fingerprint (SHA-256 hash) ng document — any post-signature modification immediately invalidates signature, (3) qualified timestamp certifying exact time, (4) signed at encrypted audit trail preserving full history. None ng these protections exist for paper signature.

How long must electronically signed documents be kept?

Duration depends on document nature: 10 years for commercial contracts (art. L.110-4 Commercial Code), 5 years for employment contracts, 30 years for real estate acts. Decree 2016-1673 requires archiving be done under conditions guaranteeing document integrity and readability. Certyneo ensures this archiving with probative value hosted in European Union.

What is non-repudiation and why is it important?

Non-repudiation is legal at technical property that prevents signer from denying having apposed signature. It is guaranteed by combination ng: timestamped at cryptographically signed audit trail, OTP sent to signer''s phone number (proof ng possession), at unique fingerprint ng document. In case ng court dispute, non-repudiation constitutes strong presumption in favor ng signature beneficiary.

What certifications and compliance standards should be verified with provider?

For reliable and compliant solution, verify: eIDAS qualification (ANSSI trust list for QES), ISO 27001 certification (information security), GDPR compliance with EU hosting, HDS compliance if processing health data, and ideally ANSSI SecNumCloud qualification for cloud-hosted solutions. Certyneo hosts all data in Germany (EU).
