Legal between speed and rigour

Frequently asked questions — corporate legal
- Does e-signature have the same value as handwritten signature?
- Yes. Article 1366 of the French Civil Code recognises e-signature as equivalent to handwritten signature, provided it (a) identifies the signer, (b) guarantees document integrity. Certyneo meets these two conditions at SES level (eIDAS level 1) and beyond.
- Can I sign a shareholder agreement online?
- Yes. A shareholder agreement is a private deed: advanced e-signature (AES) is sufficient. For agreements > €1M at stake or involving foreigners (US, UK), QES is recommended for reinforced international evidentiary value.
- How to handle a multi-party workflow (board + shareholders + executives)?
- Conditional workflow: step 1 (legal verifies), step 2 (CFO approves), step 3 (CEO signs), step 4 (external parties sign). Each step automatically triggers the next. Kanban view of the contract in its lifecycle.
- Does Certyneo offer a legal template management module?
- Yes. Our library includes 50+ pre-drafted legal templates (NDA FR/EN/DE, service contract, SAS shareholder agreement, bylaws). Dynamic fields (amount, date, party) self-service replaceable.
- Can I sign an authentic act on Certyneo?
- No. Authentic acts (notarial real estate sale, donation, succession) require a notary's intervention and cannot be signed via a third-party platform. Certyneo covers private deeds (95% of corporate contracts).
